1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related services (collectively, the "Service") offered by Joistic Technologies("Joistic," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The service

Joistic provides tools that use artificial intelligence and related technologies to help you generate design concepts, mockups, and related materials based on your inputs. Outputs are generated automatically and may be inaccurate, incomplete, or unsuitable for any particular purpose. You are responsible for reviewing and validating any output before use in production or commercial contexts.

3. Accounts and eligibility

You may need to create an account to access certain features. You agree to provide accurate information and to keep your credentials secure. You are responsible for activity under your account. You must be at least the age of majority in your jurisdiction to use the Service, or have consent from a parent or legal guardian as required by applicable law.

4. Your content

You retain rights to content you submit ("Your Content"). You grant Joistic a non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, and display Your Content solely to operate, improve, and provide the Service, including to generate outputs for you and as described in our Privacy Policy. You represent that you have the rights necessary to grant this license.

5. Acceptable use

You agree not to:

• Use the Service unlawfully, to infringe others' rights, or to generate harmful, abusive, deceptive, or illegal material;
• Attempt to probe, scan, or test the vulnerability of the Service, or bypass security or access controls;
• Reverse engineer, decompile, or extract models or training data except where applicable law permits, notwithstanding this limitation;
• Resell or commercially redistribute the Service without our written agreement, except as expressly allowed.

6. Public and shared designs

Features may allow you to mark designs as public or otherwise share them. Public content may be discoverable by others. You are responsible for what you choose to share and for ensuring you have the rights to do so.

7. Intellectual property

The Service, including its software, branding, and documentation, is owned by Joistic or its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are granted to you.

8. Third-party services

The Service may integrate with third-party services (for example, authentication or infrastructure). Your use of those services may be subject to the third parties' terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOISTIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOISTIC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO JOISTIC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF NO FEES APPLIED.

11. Indemnity

You will defend, indemnify, and hold harmless Joistic and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

12. Changes

We may modify the Service or these Terms. We will post updated Terms and update the "Last updated" date where reasonable. Continued use after changes constitutes acceptance unless applicable law requires additional consent.

13. Termination

We may suspend or terminate access to the Service if you violate these Terms or if we need to do so to comply with law or protect the Service. You may stop using the Service at any time.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Joistic Technologies is organized, without regard to conflict-of-law principles, except where mandatory consumer protections in your country of residence apply.
